These Terms of Service ("Terms") form a binding agreement between you and Fandle Inc., a Delaware corporation ("Fandle," "S2fan," "we," "us," or "our"), governing your access to and use of the website located at S2fan's domain, any related subdomains, and the pre-registration, feedback, and hiring forms linked from it (together, the "Site"). By accessing the Site, submitting a form on the Site, or checking a box indicating agreement, you accept these Terms. If you do not agree, do not use the Site.
S2fan is a marketplace built for fan artists and doujin creators to sell fan goods — commissions, pre-orders, convention ("con") pickups, and mail order — to fans who follow the same fandoms. FANDLE INC. operates as a "Pure Marketplace" (Venue): we provide the platform infrastructure that connects independent artists ("Sellers") with fans ("Buyers"), but we are not a party to the specific transactions or contracts between Users, and we do not take title to any goods or digital assets sold on the Service. Fandle Inc. is a separate legal entity from Firebolt Inc. (주식회사 파이어볼트), which operates Witchform. References to "S2fan" or "Surf2Fan" throughout this document mean the product operated by Fandle Inc.
FANDLE INC. enforces an age policy designed to comply with global regulations, including the U.S. Children's Online Privacy Protection Act (COPPA) and the EU General Data Protection Regulation (GDPR):
Because the platform can be used by minors under adult supervision, S2fan does not rely on an age gate to manage mature content risk. Instead, adult, sexual, or exploitative content is prohibited outright regardless of who is viewing it — see Section 8.

The feedback form (tally.so/r/q4poA8) lets you tell us what features matter most to you. By submitting feedback, you grant Fandle Inc. a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate that feedback into S2fan without obligation to compensate or credit you. Do not submit feedback you consider confidential or proprietary.

Submitting an application form does not create an employment or contractor relationship. Application data is handled as described in our Privacy Policy. We may retain application data to consider you for other open roles unless you ask us to delete it.
The following describes functionality S2fan intends to launch and will govern your use of it once live. We will republish or amend these Terms at launch and require acceptance before any shop, checkout, or payment feature becomes available to you.
Creators ("Sellers") will be able to open a shop, publish a catalog of items, and set pickup or shipping options. Sellers are solely responsible for the accuracy of their listings, the legality of the goods and content they sell, and fulfilling orders.
Buyers may pre-order items before they are produced. Funds paid for pre-orders are intended to be held and released to the Seller upon confirmed pickup or delivery, as described on the Site ("funds held and released once they pick up or receive it"). Sellers are responsible for producing and fulfilling pre-ordered items within a reasonable time of the stated pickup or ship date.
Where a Seller offers con pickup, orders are marked fulfilled via in-app QR code scan at the point of handoff. Sellers and Buyers are both responsible for coordinating pickup logistics in good faith.
After a con or at any time a Seller chooses, the same shop can convert to standard mail order. Shipping, customs, and delivery timelines are the Seller's responsibility unless otherwise stated on a specific listing.
S2fan serves fan art, doujin, and fandom-adjacent communities, and because the platform is accessible to supervised users as young as 13 (see Section 3), it is not an adult-content platform. The following rules apply to all content posted, sold, or distributed on S2fan:
Sellers retain ownership of the original creative elements of their own work. By listing an item, a Seller grants S2fan a license, strictly limited to (1) service operation and improvement (correctly displaying Your Content across devices and browsers, and improving recommendation algorithms) and (2) marketing and promotion (featuring your work and the Fandle ecosystem via social media, digital advertisements, and offline promotional materials).
AI and data-scraping policy. FANDLE INC. will not use Seller content to train, develop, or fine-tune our own generative AI models. We implement technical measures (such as "No-AI" meta-tagging where applicable) to discourage third-party scrapers from harvesting content hosted on the platform. Should we introduce AI-assisted tools in the future, they will be opt-in, and no artist's work will be used without explicit, prior consent.
S2fan responds to valid notices of copyright infringement under the U.S. Digital Millennium Copyright Act (DMCA) and comparable regimes. Rights holders may submit a written "Notice of Infringement" to our Designated Agent:

We may remove listings, disable accounts of repeat infringers, and forward counter-notices as required by law.
S2fan does not claim ownership of, and is not responsible for, underlying franchises, characters, or trademarks referenced in fan works listed by Sellers.
Payment processing at launch is expected to be provided by a third-party payment processor (e.g., Stripe). Payment processing is subject to that processor's own terms and identity-verification requirements, which Sellers must complete to receive payouts. S2fan does not store full payment card numbers.

Fee structures are subject to change with notice before launch and may vary by region due to payment-processor or tax requirements.
We may suspend or terminate your access to the Site or, once launched, your shop or buyer account, at our discretion, for violation of these Terms, suspected fraud, legal requirement, or risk to other users. You may stop using the Site at any time and may request deletion of your data as described in our Privacy Policy.
THE SITE AND, ONCE LAUNCHED, THE MARKETPLACE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT ANY PRE-REGISTRATION PERK, LAUNCH DATE, OR FEATURE DESCRIBED ON THE SITE WILL BE DELIVERED AS DESCRIBED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FANDLE INC. WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING FROM YOUR USE OF THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU PAID US IN THE PRECEDING TWELVE MONTHS, WHICHEVER IS GREATER.
You agree to indemnify and hold harmless Fandle Inc. and its officers, employees, and agents from any claim, liability, damage, or expense (including reasonable attorneys' fees) arising from your content, your violation of these Terms, or your violation of any third party's rights, including intellectual property rights in fan or doujin content you list.
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles, and by applicable U.S. federal law.
Binding arbitration. Any dispute arising out of or relating to these Terms or the Site will be resolved through final and binding arbitration on an individual basis, rather than in court, except that either party may bring an individual claim in small claims court. You and Fandle Inc. each waive the right to a jury trial and to participate in a class action. Arbitration will be administered by a recognized arbitration provider (e.g., JAMS or AAA) under its rules then in effect, seated in Delaware unless the parties agree otherwise. This section does not limit either party's right to seek injunctive relief for infringement or misuse of intellectual property.
We may update these Terms as the product evolves, in particular when marketplace functionality (shops, checkout, payouts) becomes live. We will post the updated Terms on the Site with a new "Last updated" date and, for material changes, will seek renewed acceptance before you can use the affected feature.
